These Terms of Use (“Terms”) govern your access to and use of the Code Wiz websites, including www.codewiz.com, www.thecodewiz.com, www.codewizfranchise.com, and any other websites, pages, or online services that link to these Terms (collectively, the “Website”). The Website is operated by Code Wiz Franchise System LLC (“Code Wiz,” “we,” “us,” or “our”).
Please read these Terms carefully. By accessing or using the Website, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, please do not use the Website.
The Website is operated from, and directed to users located in, the United States. We make no representation that the Website or its content is appropriate or available for use in other locations.
The Website is intended for use by adults. It is directed to parents, guardians, prospective customers, and franchise candidates, and is not intended for use by children. If you are under the age of 18, you may use the Website only with the involvement of a parent or legal guardian.
About Code Wiz Locations
Code Wiz locations are independently owned and operated by franchisees. The Website provides general information about Code Wiz programs and helps connect parents and guardians with local Code Wiz locations. Enrollment, payment, scheduling, refunds, cancellations, and program delivery are handled by the local Code Wiz location and through third-party registration and booking platforms, and are subject to the terms and policies of that location and those platforms.
The Website itself does not process program payments. Registration and payment take place through third-party platforms such as SimplyBook.me and iClassPro, or directly with a local Code Wiz location. Any transaction you enter into with a local location or through a third-party platform is governed by the terms and policies of that location or platform, not by these Terms.
Enrollment, Payment, and Refunds
Because Code Wiz locations are independently owned and operated, enrollment terms, tuition, fees, payment terms, refunds, cancellations, make-up policies, and similar matters are established by the local Code Wiz location and the applicable registration platform. Please review the terms provided by your local location and platform at the time of registration.
Franchise Information
Portions of the Website, including www.codewizfranchise.com, provide general information about Code Wiz franchise opportunities. This information is not an offer to sell, or a solicitation of an offer to buy, a Code Wiz franchise. An offer of a Code Wiz franchise can be made only through delivery of a Franchise Disclosure Document (“FDD”) in compliance with the Federal Trade Commission’s Franchise Rule and applicable state franchise laws. Certain states require registration of franchise offerings before an offer or sale may be made in that state. We will not offer or sell a franchise in any state where the offering is required to be registered unless and until the offering has been registered and declared effective, and the FDD has been delivered to the prospective franchisee in accordance with applicable law.
Text Messaging (SMS) Terms
If you opt in to receive text messages from Code Wiz or a local Code Wiz location (for example, appointment reminders, program updates, or promotional messages), the following terms apply:
• Consent to receive text messages is not a condition of any purchase or enrollment.
• Message frequency varies. Message and data rates may apply, depending on your mobile carrier and plan.
• You may opt out at any time by replying STOP to any message. After you opt out, you may receive a single confirmation message. For help, reply HELP or contact us using the information in the “Contact Us” section below.
• Mobile carriers are not liable for delayed or undelivered messages.
• Text messaging programs may be operated by Code Wiz, by a local Code Wiz location, or through third-party platforms. Where a program is operated by a local location or platform, that party’s terms may also apply.
Information collected in connection with text messaging is handled in accordance with our Privacy Policy.
Acceptable Use
You agree to use the Website only for lawful purposes and in accordance with these Terms. You agree that you will not:
• Use the Website in any way that violates any applicable law or regulation.
• Attempt to gain unauthorized access to the Website, its servers, or any systems or networks connected to the Website.
• Introduce viruses, malware, or other harmful code, or otherwise interfere with the proper working of the Website.
• Use any robot, spider, scraper, or other automated means to access the Website for any purpose without our express written permission.
• Collect or harvest information about other users, or use the Website to transmit unsolicited communications.
• Use the Website to post or transmit any content that is unlawful, harassing, defamatory, abusive, threatening, harmful, or otherwise objectionable.
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Website without our express written permission.

The Website and its contents, including text, graphics, logos, images, videos, designs, and software, are owned by or licensed to Code Wiz and are protected by copyright, trademark, and other intellectual property laws. The Code Wiz name, logo, and related marks are trademarks of Code Wiz Franchise System LLC or its affiliates. You may not use these marks without our prior written permission.
You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Website for personal, non-commercial informational purposes. This license does not permit any resale or commercial use of the Website or its contents.
User Submissions
If you submit information, inquiries, reviews, testimonials, images, or other content to us through the Website, you grant Code Wiz a non-exclusive, perpetual, royalty-free, worldwide license to use, reproduce, and display that content in connection with operating and promoting Code Wiz, subject to our Privacy Policy and applicable law. You represent that you have the right to provide any content you submit, and that it does not infringe the rights of any third party.
Do not submit personal information about a child through general Website features except as part of an inquiry or registration process where a parent or guardian is providing that information. Please see our Privacy Policy for how we handle information relating to children.

To the fullest extent permitted by law, Code Wiz and its officers, directors, employees, affiliates, and franchisees will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of, or inability to use, the Website, whether based on warranty, contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, the total aggregate liability of Code Wiz and its officers, directors, employees, affiliates, and franchisees for all claims arising out of or relating to these Terms or your use of the Website will not exceed one hundred U.S. dollars (US $100).
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.
Indemnification
You agree to indemnify and hold harmless Code Wiz and its officers, directors, employees, affiliates, and franchisees from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Website or your violation of these Terms.
Governing Law and Dispute Resolution
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.
Informal Resolution
If you have a dispute with Code Wiz relating to these Terms or the Website, we encourage you to contact us first so we can try to resolve it informally. You may send a description of the dispute and the relief you are seeking by email to legal@thecodewiz.com or by mail to the address in the “Contact Us” section below.
Jurisdiction and Venue
Any dispute arising out of or relating to these Terms or your use of the Website that is not resolved informally will be brought exclusively in the state or federal courts located in the State of Delaware, and you and Code Wiz each consent to the personal jurisdiction of those courts and waive any objection to venue in those courts.
Changes to These Terms
We may update these Terms from time to time. When we do, we will update the effective date above. If we make material changes to these Terms, we will provide reasonable advance notice before the changes take effect, such as by posting a notice on the Website. Your continued use of the Website after changes become effective constitutes your acceptance of the revised Terms.
Any changes to the “Governing Law and Dispute Resolution” section will not apply to any dispute between you and Code Wiz that arose before the effective date of those changes.
Termination
We may suspend or terminate your access to the Website at any time, without notice, for any reason, including if we believe you have violated these Terms.
General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and Code Wiz regarding your use of the Website, and supersede any prior agreements or understandings on that subject.
Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
Assignment
You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
No Waiver
Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision, or any other provision, in the future.
Survival
Provisions of these Terms that by their nature should survive termination — including the “Intellectual Property,” “User Submissions,” “Disclaimer of Warranties,” “Limitation of Liability,” “Indemnification,” “Governing Law and Dispute Resolution,” and “General Provisions” sections — will survive any termination of these Terms or your use of the Website.
